These Terms of Use govern your access to and use of the WedDefined website, directory, planning tools, vendor profiles, accounts, content and related services (the “Platform”). By accessing or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. About WedDefined
WedDefined is a wedding-planning platform that helps couples discover wedding venues, professionals, products and services in supported local markets. Vendors are independent businesses and are not employees, agents, partners or representatives of WedDefined unless expressly stated otherwise.
2. Eligibility and accounts
You must be at least 18 years old to create an account or enter into an agreement through the Platform. You are responsible for providing accurate information, protecting your login credentials and activity occurring through your account.
3. Couple accounts and planning tools
Couples may use features such as saved vendors, budgets, guest lists, reviews, inquiries, checklists and other planning tools. These resources are for general informational and organizational purposes and are not legal, financial, tax, insurance or other professional advice.
4. Vendor information and relationships
Vendor information can change. Couples should independently verify availability, pricing, licensing, insurance, services, contracts, deposits and cancellation terms directly with a vendor. WedDefined is not a party to agreements between couples and independent vendors and does not guarantee a vendor’s quality, availability, pricing or performance.
5. Featured and paid placement
Some vendors purchase memberships that may provide enhanced visibility, priority positioning, badges or promotional exposure. Featured or paid placement is not a certification, endorsement or guarantee of a vendor’s services. WedDefined may also feature businesses editorially.
6. Reviews
Reviews must reflect the submitter’s genuine experience and may not contain knowingly false statements, threats, harassment, unlawful content, spam, confidential information or unrelated material. We may moderate, reject or remove reviews that violate Platform policies or applicable law, and we do not guarantee publication of every review.
7. User content
By submitting photos, reviews, descriptions, logos or other material, you represent that you have the rights needed to submit it. You grant WedDefined a non-exclusive, worldwide, royalty-free license to host, display, reproduce, resize, format and use that material as reasonably necessary to operate and promote the Platform and applicable listing. You retain ownership of your original content.
8. Prohibited conduct
You may not misuse the Platform, attempt unauthorized access, introduce malicious software, scrape the Platform at unreasonable scale, impersonate another person or business, submit fraudulent information, manipulate reviews, interfere with Platform operation or use the Platform for unlawful purposes.
9. Intellectual property
The WedDefined name, branding, original website design, written content, graphics, software and other original Platform materials are owned by WedDefined or its licensors and are protected by applicable intellectual-property laws.
10. Wedding Builder by WedDefined — proprietary technology and permitted use
Wedding Builder by WedDefined, including its original software, interface, workflows, questionnaires, selection and arrangement of content, category structures, budget-allocation presentation, matching and recommendation presentation, written copy, graphics, reports and other original elements, is proprietary to WedDefined or its licensors. Subject to these Terms, WedDefined grants users a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable right to use Wedding Builder by WedDefined for legitimate wedding-planning purposes.
Except where applicable law expressly permits otherwise, users may not copy, reproduce, republish, sell, license, commercially exploit, frame or mirror substantial portions of Wedding Builder by WedDefined; use scraping, crawling, bots or automated means to systematically extract its results, vendor information or content; reverse engineer, decompile or attempt to discover non-public source code, algorithms, weighting systems, ranking logic, matching methodology or business rules; circumvent access controls, rate limits or technical protections; manipulate rankings, recommendations, matches or analytics; or use Wedding Builder by WedDefined, its outputs or non-public functionality to build, train, benchmark, evaluate or improve a competing wedding-planning, vendor-matching, recommendation or marketplace product or service.
WedDefined retains all right, title and interest in and to Wedding Builder by WedDefined and its proprietary software, design, organization, selection and arrangement of content, user experience, original text and graphics, and non-public business rules and technology, together with associated intellectual-property rights. These Terms do not claim exclusive ownership of ideas, systems, methods, processes or concepts that applicable law does not protect as copyrighted expression. No rights are transferred except the limited permission to use the Platform expressly provided in these Terms.
11. Wedding Builder by WedDefined results and recommendations
Wedding Builder by WedDefined provides planning tools, estimates, allocations, match indicators and recommendations for informational and organizational purposes. Results may be generated from information supplied by couples, vendors and WedDefined systems and may change as information, inventory or preferences change. Budgets, allocations, match percentages, recommendations, availability indicators and other results are estimates and are not guarantees of vendor availability, pricing, performance, suitability, compatibility, booking, lead quality or final wedding cost. Users remain responsible for independently evaluating vendors and confirming pricing, availability, contracts, insurance, licensing and other requirements directly with vendors.
Wedding Builder by WedDefined results are not independent certifications or endorsements of a vendor. Paid membership or promotional placement may affect visibility where disclosed, but users may not misrepresent a Wedding Builder by WedDefined result as a guarantee or independent professional certification by WedDefined.
12. Protection of non-public technology and confidential platform information
Non-public scoring weights, recommendation logic, ranking factors, fraud-prevention methods, internal analytics, source code, market rules and other non-public technical or business information relating to Wedding Builder by WedDefined or the Platform are confidential and proprietary to the extent permitted by law. Users may not obtain or use such information through unauthorized access, circumvention, extraction or other conduct prohibited by these Terms.
13. Copyright complaints and repeat infringement
WedDefined respects intellectual-property rights and maintains a copyright notice-and-takedown process. Users may not upload or submit material that infringes another party's rights. WedDefined may remove or disable access to material when appropriate and may suspend or terminate accounts of repeat infringers in appropriate circumstances. Copyright notices and counter-notices should be submitted through the process described on our Copyright & DMCA page. Designated-agent information will be published there and in other publicly accessible locations when the applicable registration is completed.
14. Platform availability
We may modify, suspend, add or discontinue features when reasonably necessary. We do not guarantee uninterrupted or error-free availability.
15. Disclaimer and limitation of liability
To the extent permitted by law, the Platform is provided “as is” and “as available.” WedDefined does not guarantee that any listing, recommendation, review or planning resource will meet a user’s requirements. To the fullest extent permitted by law, WedDefined will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from use of the Platform or transactions between users and independent vendors. Nothing here excludes liability that cannot legally be excluded.
16. Changes and governing law
We may update these Terms periodically and will post the current version and effective date. These Terms are governed by Oregon law, without regard to conflict-of-law principles, except where applicable law requires otherwise.
